FOUNDER OF WANU WATER SENTENCED TO 51 MONTHS IN FEDERAL PRISON FOR MULTI-MILLION DOLLAR INVESTOR FRAUD

NEWARK, NEW JERSEY — The founder and executive chairman of beverage startup Wanu Water, Inc. has been sentenced to 51 months in federal prison after admitting to defrauding investors out of more than $6.6 million through fabricated documents and false representations about the company’s financial standing.

Todd O’Gara, 46, who maintained residences in Austin, Texas and Reno, Nevada, previously pleaded guilty to one count of wire fraud in the United States District Court for the District of New Jersey. U.S. District Judge Stanley R. Chesler imposed a sentence of 51 months’ imprisonment followed by three years of supervised release. Restitution proceedings are expected to follow in accordance with federal sentencing procedures.

According to court filings and statements made during proceedings, O’Gara solicited investments by misrepresenting the company’s commercial traction and financial backing. Prosecutors established that he falsely claimed Wanu Water had secured substantial purchase orders from major retailers and had obtained significant commitments from private equity firms. These representations were used to induce new investments and to persuade existing investors to maintain or increase their financial exposure.

Evidence presented in the case showed that O’Gara circulated falsified documentation to bolster credibility. These materials included doctored email communications purporting to confirm retail partnerships and forged term sheets suggesting large-scale private equity funding commitments. Federal investigators determined that these documents were fabricated to create the appearance of rapid growth and institutional support that did not exist.

Wanu Water, marketed as a nutrient-infused beverage company, was promoted as an emerging brand positioned for large retail expansion. Investors were told that the company was on the verge of significant commercial breakthroughs. In reality, prosecutors demonstrated that the company’s financial condition did not align with those representations and that the purported retail and investment relationships were materially overstated or entirely fictitious.

Wire fraud statutes are commonly applied in cases involving interstate communications used to advance financial deception. In this matter, electronic communications and digital transmission of falsified documents formed the basis of the charge. Under federal law, wire fraud carries potential penalties of up to 20 years in prison, with sentencing determined by financial loss amount, number of victims, and degree of planning or sophistication.

The sentencing reflects judicial consideration of the financial harm inflicted on investors who relied on the integrity of executive disclosures. Federal courts routinely evaluate the impact of fraudulent inducement schemes in which company officers misuse corporate leadership roles to attract capital under false pretenses.

Economic crimes involving private company fundraising have drawn increasing scrutiny from federal prosecutors, particularly where fabricated documentation is used to simulate institutional backing. In such cases, falsified term sheets and forged communications are treated as aggravating conduct because they are designed to circumvent investor due diligence safeguards.

The investigation was conducted by the Federal Bureau of Investigation’s Newark Field Division. Prosecution was handled by the Economic Crimes Unit of the U.S. Attorney’s Office for the District of New Jersey.

The defendant stands convicted pursuant to his guilty plea. The case is now concluded at the sentencing stage, pending restitution determinations.
