23andMe maintains an extensive database of biological samples and ancestry records for millions of users. Their privacy policy explicitly states that:
- Users have control over their data and how it’s used
- Consumers can delete their information at any time
- Genetic data is not shared with insurers, employers, or public agencies without legal compulsion (such as a court order or subpoena)
- Any sale or transfer of the company will not void these protections—the privacy statement must still apply
Chair Ferguson’s letter confirms the FTC’s stance that those assurances are binding even in the context of bankruptcy or acquisition.

The concern isn’t hypothetical. In a recent public statement, 23andMe’s leadership referred to user data as a potential “asset”—language that alarmed regulators and data rights advocates, particularly as the company has faced recent financial challenges and growing competition in the personal genomics space.
Ferguson made it clear that if user data is viewed as an asset in bankruptcy court, it cannot be treated like surplus office furniture or software licenses. “The FTC believes these types of promises to consumers must be kept,” he wrote. “Consumers should be able to trust that companies will keep their promises, including when it comes to the handling of sensitive information.”
The Bigger Picture: Consent, Corporate Liquidation, and the Future of Privacy
This situation spotlights a growing concern in the digital age: what happens to personal data when companies collapse or are acquired? As data becomes the most valuable commodity in the modern economy, users are often caught in a legal gray zone between what they were promised and how their information is ultimately used—or sold.
In 23andMe’s case, this is amplified by the nature of the data itself. Genetic records not only include health markers but familial ties, lineage, and ancestral connections. This data can be used not just for marketing or research, but—if mishandled—could one day be leveraged by insurance companies, law enforcement, or even authoritarian regimes for discriminatory profiling or digital control.
While 23andMe has not announced a sale or confirmed bankruptcy, the FTC’s proactive stance sends a clear signal: data dignity doesn’t end when a company changes hands.
